Amended and Restated Declaration of Covenants, Conditions, Restrictions, Easements and Liens for Torrey Pines.

NOW THEREFORE, the Association hereby declares that all of the property described on Exhibits A and B shall be held, sold and conveyed subject to the easements, restrictions, covenants, conditions and liens set forth in this Declaration and any subdivision plat which includes the Property (as defined in Article I below), which are for the purposes of protecting the value and desirability of and which run with the Property and are binding on all parties having an interest right, title, interest, in the described property or any part thereof, their heirs, successors and assigns, and shall inure to the benefit of each owner thereof. By execution and recording of this Declaration, the Association hereby declares the Prior Documents null and void and canceled and for all purposes, replaced with this Declaration.
